How to Obtain a Saskatchewan Certificate of Status

SK Certificates of Status are issued by the Saskatchewan Corporate Registry and can be obtained through a Canadian search and registration service. They can be called Certificates of Good Standing as well. These certificates are available for all companies registered in any country.

A Saskatchewan Certificate of Status is required when you need to provide someone or some other company with the assurance that your Saskatchewan company is in good standing. Being in good standing means that the company is still active and has not been dissolved for non-filing of federal and/or provincial tax returns or non-filing of the Saskatchewan annual returns.

All Saskatchewan companies must file an annual return each year with the government. If this return is not filed the company will end up being dissolved and will need to be revived which can be expensive. If the address on file for the SK company is not current then the annual return will not make its way to the directors. Your company could be dissolved without you even knowing it. It is therefore very important to ensure that the Saskatchewan Corporate Registry has the current address of all companies registered in Saskatchewan.

The Certificate of Status shows what the name of the company is as of the date of the certificate, the date upon which the company was incorporated, the number assigned to the company by the Saskatchewan Corporate Registry and confirmation that the company is in good standing. Some government agencies that request a Certificate of Status require more information to be confirmed about the company than is shown on the standard Certificate of Status for that jurisdiction. In this case a solicitor will need to be contacted who can given an opinion as to the validity of the company.

If a company does not file its federal and/or provincial tax returns it will eventually be dissolved. It usually takes three or more years. If it does happen the company will need to be revived which can be expensive. A SK company that has been dissolved will not be able to obtain a Certificate of Status.

Google To Soon Index Enquiry Forms On A Website

With thousands of internet sites being developed day by day, Google is also becoming increasingly sophisticated in its indexing techniques to soon add in indexing AJAX based submission forms. Google experimented on indexing html GET and POST forms ever since 2008 and is soon looking into crawling AJAX based submission forms in a bid to safely surface other information for web users.

And finally, Google still indexes text content over any other element in a website. POST forms is just an additional element, but the chief element Google indexes is text content.

How to Register an Ontario Sole Proprietorship

The Business Names Act (Ontario) governs the registration of Ontario sole proprietorships. Another name for a Ontario Sole Proprietorship is an Ontario trade name. It would be advisable to read the statute to ensure that you operate your business in compliance with the statute requirements.

The legislation indicates that a person must not carry on business under another name other than his or her own name or identify his or her business to the public under a name other than his or her own name unless the business name has been registered by that individual. You do not have to do a registration if you are carrying on business under your own name.

If you decide to register an Ontario trade name you should be aware that an Ontario Nuans name search is not required. It is not a requirement of the statute that the name you choose for your Ontario trade name be unique. The Ontario government will accept a registration of a name that is exactly the same as another name registered as a sole proprietorship in Ontario. If you are going to register a trade name and you realize that there is another name registered which is exactly the same, you should not register the same name unless you have a connection with that business or have received consent in writing to the use of the name.

A preliminary name search should be done to ensure your name is available and a search house can do this for you for a small fee. Many search houses will clear your name in advance for free if you chose their service when registering your Ontario trade name. It is important that you have your name cleared by an experienced search house. These businesses are trained to check out a name right across Canada and clear it for you. Many businesses are doing business online and will do business in other provinces so it is even important that you do not register a name that is the same or close to a name in British Columbia for instance. Attempting to clear your own name without the assistance of a search house can create problems. If you pick a name that is the same as another name the government will not let you know this in advance of registration. Situations have occurred where an individual had to register another name right after registration of a sole proprietorship because he found out after the fact that there was a conflict.

Once you have registered your Ontario business it will stay in place for five years. A Master Business Licence will be issued for the Ontario sole proprietorship. It will be a photocopy and if you order it online from a Ontario service provider it will be sent to you in the form of a pdf. The expiry date of the Ontario business registration will be on the form and you must ensure that you keep track of this since the government will not remind you.

It should be noted that no Ontario company can have the same name. It is only Ontario business names, Ontario sole proprietorships and Ontario partnerships that have no protection for the name.

Subsequent to registering your Ontario sole proprietorship, if any information changes you must filed an amendment to the registration outlining those changes. it is not possible to change the name of an Ontario trade name. You must file a brand new registration if you do not wish to continue operating under the same name.

A dissolution of an Ontario sole proprietorship must be filed if you no longer wish to carry on business under the name you have registered.

An Ontario sole proprietorship is not perpetual. It will expiry in five years and that expiry date will be clearly shown on the Master Business Licence. You must set up a tickler to ensure that you renew your business name prior to the five years being up. It is a good idea to re-register a few days before the Ontario sole proprietorship registration expires.

Alberta Certificate of Status – How to Get One

Alberta Certificates of Status are issued by the Alberta Corporate Registry for Alberta companies. Sometimes these are called Certificates of Good Standing or Certificates of Compliance and all companies registered in all jurisdictions in Canada and for that matter all countries can obtain these certificates when needed. In the Alberta jurisdiction they are called Certificates of Status.

Sometimes you will be required to provide an Alberta Certificate of Status to another company that wants to do business with you or to a bank or other financial institution.

An Alberta Certificate of Status will tell you whether the company has done all of its corporate filings and whether it is still an active company. It does not confirm that tax returns have been filed. Each year in Alberta a company must file what is called an Alberta Annual Return. If the company has not been doing its filings its Alberta Certificate of Status will not be clear.

The Certificate of Status for an Alberta company will provide the accurate current name of the Alberta company, the Alberta corporate number and its status.

If the Alberta company is not in compliance when you order the Alberta Certificate of Status, it will be issued anyway and it will confirm the company is in non-compliance. If you really need the certificate you will need to bring the company in compliance which would mean ensuring all of its Alberta annual return filings are brought up-to-date. Alberta Certificates are costly so you want to ensure your filings are current before you order the Alberta Certificate of Status otherwise you will have to pay twice. Even if you have outstanding federal or provincial tax returns and have not been dissolved yet, you will get a favourable Alberta Certificate of Status. How this works is if you do not make your tax return filings eventually the federal government will force the Alberta Corporate Registry to dissolve your company.

A Certificate of Status is not an Alberta corporate search. If you are trying to determine information about an Alberta company you should have an Alberta corporate search done rather than ordering a Certificate of Status.

Searching for Information About an Ontario Company Such as Directors and Officers

Do you wish to find out information about the officers and directors of an Ontario company? Would you like to find out who the President is and where the company’s head office is located?

The name of the document the Ontario government will give you is called an Ontario Corporate Profile Report. You can also order the same report under the name of corporate search or a company search.

This is not the report that you would order to find out information about a partnership or a sole proprietorship in Ontario. An Ontario Business Names Search will provide information about partnerships and sole proprietorships.

You can find out the registered office address of an Ontario company together with the names of the officers and directors and their addresses, plus their titles, and a list of all documents filed with the Ontario government for that company. These documents would include notices of change, annual returns, articles of amendment for some.

A company search is provided by the provincial and territorial governments and each jurisdiction has its own search system for that province or territory.

In Ontario you cannot obtain the name of an owner of an Ontario company. It is considered private information. However, determining who the directors are of the company in many cases leads you to the owners because frequently the owner will be a director. For larger Ontario companies and any public Ontario company this might not be the case.

The Corporate Profile Report will tell you if there are any business names registered against the company but it will not give you those names. A “yes” or “no” is inserted into the box on the Corporate Profile Report and if “yes” is inserted then you can do a further Business Names Report for that company to determine what business names it carries on business under.

If the actual company name has been different in the past you will be able to find out all the names that the company has ever had.

These searches are called corporate searches, company searches, corporate profile reports. Each province or territory has its own name. Many different searches appear to be similar in name so it is a good idea to be sure of what you want to order.
